This agreement applies to all users, including enrolled students, prospective students, and visitors to our website.

2.1 Course Enrollment

SparklyNode offers educational programs focused on financial statement analysis, typically scheduled to commence in autumn 2025 and spring 2026. Enrollment in these programs is subject to availability and completion of our registration process. We do not guarantee admission to any specific program date.

Course schedules, content, and instructors may change based on operational requirements. While we strive to maintain consistency, we reserve the right to make adjustments to improve educational quality. Students will be notified of significant changes.

2.2 Educational Outcomes

Our programs aim to build competency in financial statement analysis through structured learning. However, individual learning outcomes vary based on prior knowledge, effort, and personal circumstances. We do not guarantee specific career outcomes, employment opportunities, salary increases, or professional advancement as a result of course completion.

Success in applying the skills learned depends on many factors outside our control, including market conditions, individual aptitude, and professional opportunities available in your region.

2.3 Course Materials and Resources

Educational materials provided through SparklyNode courses are for your personal learning use only. Materials may include video lectures, written content, practice exercises, and case studies. All content remains the intellectual property of SparklyNode unless otherwise specified.

You may not reproduce, distribute, sell, or create derivative works from our course materials without explicit written permission. Personal notes and practice work created during the course may be retained for your own reference.

3.1 Account Security

When you create an account with SparklyNode, you are responsible for maintaining the security of your login credentials. You must not share your account with others or allow unauthorized access. Any activity conducted through your account is your responsibility.

If you suspect unauthorized access to your account, notify us immediately at info@sparklynode.com. We will assist in securing your account, but we are not liable for losses resulting from unauthorized use if you failed to maintain adequate security.

3.2 Acceptable Use

You agree to use SparklyNode's services and website in a lawful and respectful manner. Prohibited activities include:

• Attempting to gain unauthorized access to our systems or other user accounts
• Using automated tools to scrape, download, or collect data from our website
• Uploading malicious code, viruses, or any content that could harm our infrastructure
• Harassing, threatening, or abusing other users or our staff members

3.3 Academic Integrity

Students are expected to complete coursework honestly. This means submitting your own work on assignments, not sharing answers on assessments, and properly attributing sources when required. While collaboration may be encouraged in certain contexts, direct copying or plagiarism is not acceptable.

If we determine that academic integrity has been violated, we may take action ranging from a warning to removal from the program without refund.

4.1 Tuition and Fees

Course tuition and associated fees are posted on our website and provided during the enrollment process. Prices are subject to change for future program sessions but will not change once you have enrolled and paid for a specific course.

Payment is typically required in full at the time of enrollment, though payment plans may be available for certain programs. Details of any payment arrangements will be specified in your enrollment agreement.

4.2 Refund Policy

Refund eligibility depends on the timing of your withdrawal request:

• Before course start date: Full refund minus a 500 PHP administrative fee
• Within first two weeks of course: 70% refund of tuition paid
• After two weeks of course start: No refund available

Refund requests must be submitted in writing to info@sparklynode.com. Processing typically takes 10-15 business days from approval. Refunds will be issued using the original payment method when possible.

We do not offer refunds for course completion difficulties, dissatisfaction with content that was accurately described in course materials, or circumstances beyond our control that prevent course completion.

All content on the SparklyNode website and within our educational programs is protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to text content, graphics, logos, video content, audio recordings, software, and course curriculum design.

SparklyNode grants you a limited, non-exclusive, non-transferable license to access and use course materials for your personal educational purposes. This license terminates upon completion of the course or termination of your enrollment.

5.1 Restrictions on Use

You may not:

• Copy, reproduce, or redistribute course content in any format
• Create courses, tutorials, or educational materials based on our content
• Record video or audio from live sessions without explicit permission
• Share login credentials or course access with non-enrolled individuals
• Remove copyright notices or proprietary markings from any materials

5.2 Student Work

You retain ownership of original work you create as part of course assignments. However, by submitting work through our platform, you grant SparklyNode a non-exclusive license to use your work for educational purposes, such as showcasing examples of student work or improving course materials. We will not use your work for commercial purposes without your separate consent.

Your privacy matters to us. We collect personal information necessary to provide educational services, including your name, contact information, payment details, and learning progress data. This information is used to administer your enrollment, communicate with you, and improve our services.

We implement reasonable security measures to protect your data from unauthorized access, alteration, or disclosure. However, no internet-based system is completely secure, and we cannot guarantee absolute security of your information.

7.1 Service Availability

We strive to maintain consistent access to our website and course platform. However, we do not guarantee uninterrupted or error-free service. 7.2 Educational Outcomes

While we design our courses to provide valuable education in financial statement analysis, we make no guarantees about specific outcomes. You acknowledge that:

• Course completion does not guarantee employment in finance or related fields
• Individual learning results depend on many factors including your effort and prior knowledge
• We cannot promise specific career advancement or salary increases

7.3 Limitation of Liability

To the maximum extent permitted by law, SparklyNode's total liability for any claims arising from these terms or use of our services shall not exceed the amount you paid for the specific course giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost opportunities, or data loss, even if we were advised of the possibility of such damages.

9.1 Termination by You

You may withdraw from a course at any time by notifying us in writing. Refund eligibility will be determined according to our refund policy outlined in Section 4. Upon withdrawal, your access to course materials will be terminated.

9.2 Termination by SparklyNode

We reserve the right to terminate your access to our services if you violate these Terms of Use, engage in conduct that we deem harmful to other users or our business, or for any other reason at our discretion.

In cases of termination for cause (such as violation of academic integrity or acceptable use policies), no refund will be provided. In cases of termination without cause by SparklyNode, you will receive a prorated refund for unused portions of the course.

9.3 Effect of Termination

Upon termination of your enrollment or account, you must immediately cease all use of course materials and delete any downloaded content. Sections of these Terms that by their nature should survive termination will remain in effect, including intellectual property provisions, disclaimers, and limitations of liability.

These Terms of Use are governed by the laws of the Philippines, specifically the laws applicable in Cebu. Any disputes arising from these terms or your use of SparklyNode services shall be subject to the exclusive jurisdiction of the courts located in Mandaue City, Cebu.

10.1 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at info@sparklynode.com to discuss the issue. Many disputes can be resolved through direct communication, and we are committed to working with you to find a reasonable solution.

10.2 Formal Disputes

If informal resolution is unsuccessful, either party may pursue formal legal action. You agree to first attempt mediation before proceeding to litigation. Each party will bear their own legal costs unless a court orders otherwise.

11.1 Entire Agreement

These Terms of Use, together with our Privacy Policy and any enrollment agreements, constitute the entire agreement between you and SparklyNode regarding use of our services. They supersede any prior agreements or understandings.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SparklyNode.

11.4 Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to another entity, such as in the case of a merger or acquisition, without restriction.

11.5 Force Majeure

SparklyNode is not liable for any failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, government actions, internet service failures, or other force majeure events.
